Terms and Conditions for A2P Application Integration

These Terms and Conditions (“Terms”) govern your access to and use of A2P messaging integration services provided by Amnex Solutions Corp (“Amnex,” “we,” “us,” or “our”). By integrating or using our A2P application interfaces (APIs), tools, platforms, or services (collectively, the “Services”), you (“Client,” “you,” or “your”) agree to be bound by these Terms.

1. Definitions

  • A2P Messaging: Any messaging communication sent from an application to a person, including but not limited to SMS, MMS, email, push notifications, and other automated or programmatic messaging services.

  • Client Application: Any software, script, or system that you use to access the Services.

  • Message Content: Any text, media, or data transmitted using the Services.

2. Eligibility and Account Requirements

To use our A2P integration services:

  • You must be at least 18 years of age or a legally incorporated business entity.

  • You must provide accurate account registration information and maintain the security of your credentials.

  • You are responsible for any activity occurring under your account or through your API credentials.

3. Acceptable Use

You agree not to use the Services:

  • To send unsolicited bulk messages (SPAM).

  • To transmit any illegal, abusive, threatening, or fraudulent content.

  • To violate applicable industry regulations such as TCPA, CAN-SPAM Act, or CTIA guidelines.

  • To harvest or collect personal data without user consent.

  • To use dynamic caller IDs, message spoofing, or deceptive message headers.

Amnex reserves the right to suspend or terminate access if these policies are violated.

4. Client Responsibilities

You are responsible for:

  • Obtaining and maintaining proper consent from message recipients.

  • Complying with all applicable data privacy laws (e.g., CCPA, GDPR).

  • Monitoring your own message traffic to ensure compliance with carrier and regulatory standards.

  • Maintaining the security of API keys and other integration credentials.

5. Service Availability and Modifications

Amnex may:

  • Update, suspend, or discontinue the Services at any time with or without notice.

  • Perform maintenance that may cause temporary downtime or degraded performance.
    We will make reasonable efforts to notify you of material changes that affect your usage.

6. Fees and Billing

  • You agree to pay all fees associated with your use of the Services as described in your service agreement or pricing plan.

  • Fees may include per-message charges, delivery fees, or monthly access charges.

  • Failure to make timely payments may result in suspension or termination of service.

7. Data Handling and Privacy

  • Amnex processes message data only for the purpose of delivering and logging communications.

  • We do not sell or share your data with third parties except as required for service delivery (e.g., telecommunications carriers).

8. Intellectual Property

  • All intellectual property rights in the Services remain the exclusive property of Amnex Solutions Corp.

  • You may not copy, reverse engineer, or create derivative works based on the Service or its APIs.

9. Disclaimers and Limitation of Liability

  • The Services are provided “as is” and “as available.”

  • Amnex makes no warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

  • We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Termination

We may terminate or suspend your access to the Services at our sole discretion if:

  • You breach any of these Terms.

  • You engage in activity that disrupts or harms the Services.

  • Legal or regulatory requirements necessitate termination.

Upon termination, all rights granted to you will immediately cease.

11. Governing Law and Jurisdiction
